This is to provide notice of an Extraordinary General Meeting (EGM) of the 411 Seniors Centre Society (1977): Date: Tuesday, May 26, 2026 Time: 1:00 PM
Location: 3502 Fraser Street, Vancouver, BC
At this meeting, members will be asked to consider and vote on the following two special resolutions:
RESOLUTION #1 TO BE PROPOSED AT AN EXTRAORDINARY GENERAL MEETING:
NOTICE OF SPECIAL RESOLUTION OF 411 SENIORS CENTRE SOCIETY (1977)(the “Society”)
The following special resolution will be proposed for approval at the Society’s Extraordinary General Meeting on Tuesday, May 26, 2026, at 1:00 pm, at the 411 Seniors Centre, 3502 Fraser Street, Vancouver, BC: Amendments to Bylaws
BE IT RESOLVED as a special resolution of the 411 Seniors Centre Society (1977) that the Bylaws of the Society be amended as follows, to take effect upon the electronic filing of a Bylaw Alteration Application with the BC Registry Services:
SPECIAL RESOLUTON: That Part XI of the Bylaws (Auditor) be deleted in its entirety and replaced with the following:
PART XI FINANCIAL REVIEW OR AUDIT
- At each Annual General Meeting, the members shall, by ordinary resolution upon recommendation from the Board of Directors, determine whether the Society’s financial statements for the previous financial year shall be subject to (a) a full audit by a Chartered Professional Accountant, or (b) a review engagement by a Chartered Professional Accountant.
- The members shall appoint a Chartered Professional Accountant to conduct the audit or review engagement so determined, to hold office until a successor is appointed at the next Annual General Meeting.
- An appointee may be removed by ordinary resolution.
- The appointee shall be informed forthwith in writing of their appointment or removal.
- No Director and no employee of the Society shall be appointed under this Part.
RESOLUTION #2 TO BE PROPOSED AT THE EXTRAORDINARY GENERAL MEETING: NOTICE OF SPECIAL RESOLUTION OF 411 SENIORS CENTRE SOCIETY (1977) (the “Society”)
The following special resolutions are recommended for approval by the Board of Directors of the 411 Seniors Centre Society (1977) for approval at the Society’s Extraordinary General Meeting on Tuesday, May 26, 2026, at 1:00 pm, at the 411 Seniors Centre, 3502 Fraser Street, Vancouver, BC.
SPECIAL RESOLUTON: Appointment of Auditor for an Engagement Review
BE IT RESOLVED by the 411 Seniors Centre Society (1977) that the resolution passed at the 2025 Annual General Meeting of the 411 Seniors Centre Society (1977) to appoint Tompkins Wozny to audit the 2025-26 financial statement be rescinded.
BE IT FURTHER RESOLVED by the 411 Seniors Centre Society (1977) that Tompkins Wozny be appointed to conduct an Engagement Review of the Society’s 2025-26 financial statements.
